Following six years of intense litigation that dealt with complex and untested legal matters concerning legal ownership, lease rights and other use rights over key infrastructure network assets, the proceedings were favourably concluded.

The firm advises two Dutch holding companies and supports a leading Dutch counsel in a 1+billion EUR order for interim measures in the Dutch courts

The firm’s attorneys assisted a leading Dutch firm and its two clients in a publicized set of proceedings arising from a state intervention and subsequent restructuring of a major conglomerate. 

The clients successfully obtained a 1+billion EUR attachment order from the Dutch courts, attaching on the relevant assets of the numerous defendants.

Following this, the firm assisted the clients and the Dutch firm in preventing a multimillion EUR payment by one of the defendant entities and receiving a favourable judgment recognizing the freezing of the sums to the benefit of the claimants.

The underlying lawsuits continue in the Dutch courts, with the case valued at 2.8 billion EUR without interest.

Commercial Court – successful representation in a 5+ mil. EUR shareholders’ dispute over a TMT sector joint venture

The firm has successfully represented a corporate client and a majority shareholder over a 5 mil. EUR lawsuit filed based on a shareholders’ agreement concerning a joint venture in a TMT sector company.

Initiated in 2019, the claim was dismissed in the first instance in 2022 by the Commercial Court and confirmed as final by the Commercial Court of Appeal recently. In a complex factual matrix spanning a long number of years of the joint venture and grappling with various arguments on the interpretation of the agreement between the relevant parties, the firm succeeded in arguing that the obligations to pay certain sums never arose and defended the respondents with respect to their alleged joint liability.  Full costs have been awarded to the respondents.

 

 

 

 

Loan Market Transactions – Successful closing of EUR 7+million GCV secondary market loan transactions concerning secured claims

The firm has successfully acted for an international investment entity in closing EUR 7+ million secondary market loan transactions which concern loan receivables secured on various real estate assets in Serbia. The team has advised the seller on the negotiations, structuring, signing and closing of the deal. The underlying assets were distressed following the Great Recession and the resulting recessionary years in the region, and the relevant loan facilities were subject to multiple restructurings and negotiations over the years. Having acquired the loans trough a primary sale from the originators, the seller’s exit marks another successful investment cycle in the Serbian assets.  

Successful cross-border acquisition of a privately-owned regional pharma sector company

The firm acted for the seller in a cross-border sale of an entire share capital in a privately held US-based pharmaceutical company with multiple subsidiaries in several jurisdictions in the region.

The transaction successfully closed following the satisfaction of condition precedents. 

Issue of UK patents & successful milestone in tech JV

The firm advised a Swiss and Serbian-based JV with respect to a technology start-up joint venture set up for the commercialization of certain energy sector technologies on a global scale.

After successfully closing the JV structure and incorporating the collaboration agreement, as well as implementing asset transfers concerning various IP, the firm advised, in cooperation with the Patent Attorneys in the relevant jurisdiction, the parties on a UK Patent application.

In accordance with the JV milestones, the relevant applicants were granted a UK Patent with respect to the technologies covered by the collaboration and have successfully completed a major milestone in their collaboration agreement.

Loan Market Transaction – the firm successfully closes a multimillion EUR secondary loan market cross-border transaction for an international non-performing assets management company

The firm has successfully acted for an international investment company in closing a cross-border secondary market loan transaction involving complex matters of restructuring, loan assignments, and security collateral transfers, based on several framework and multiple implementation agreements.

The loans were secured by underlying assets linked to several corporate insolvencies, burdened by multiple disputes over the years, and the closing mechanisms involved several tranches of payments against performance and release of escrow-protected documents.

The underlying assets were lucrative hospitality development assets, which served as the basis for the valuation of the claims.

Restructuring of a Swiss corporate group operating in the tech sector and with significant development companies in Serbia

Together with our cooperating partners from Zurich, the firm advised a Swiss corporate group active in the technology space and focusing on the energy sector, on the restructuring of the corporate group and reorganisation of certain matters pertaining to the shareholding as well as subsidiaries, including those in Serbia. 

The restructuring was completed with the execution and implementation of new statutory documents, transfers of shares/quotas in the various companies in the group and the re-arrangement of certain commercial intra-group contracts.
