Commercial Court – successful representation in a 5+ mil. EUR shareholders’ dispute over a TMT sector joint venture

The firm has successfully represented a corporate client and a majority shareholder over a 5 mil. EUR lawsuit filed based on a shareholders’ agreement concerning a joint venture in a TMT sector company.

Initiated in 2019, the claim was dismissed in the first instance in 2022 by the Commercial Court and confirmed as final by the Commercial Court of Appeal recently. In a complex factual matrix spanning a long number of years of the joint venture and grappling with various arguments on the interpretation of the agreement between the relevant parties, the firm succeeded in arguing that the obligations to pay certain sums never arose and defended the respondents with respect to their alleged joint liability.  Full costs have been awarded to the respondents.

 

 

 

 

Loan Market Transactions – Successful closing of EUR 7+million GCV secondary market loan transactions concerning secured claims

The firm has successfully acted for an international investment entity in closing EUR 7+ million secondary market loan transactions which concern loan receivables secured on various real estate assets in Serbia. The team has advised the seller on the negotiations, structuring, signing and closing of the deal. The underlying assets were distressed following the Great Recession and the resulting recessionary years in the region, and the relevant loan facilities were subject to multiple restructurings and negotiations over the years. Having acquired the loans trough a primary sale from the originators, the seller’s exit marks another successful investment cycle in the Serbian assets.  

12th Annual Investment Meeting in Abu Dhabi

The firm had the pleasure to attend the 12th Annual Investment Meeting this May organized by the AIM Foundation, and held under the patronage of His Highness Sheikh Khaled bin Zayed Al Nahyan, Crown Prince of Abu Dhabi and Chairman of the Abu Dhabi Executive Council.

The conference afforded opportunities for engaging discussions with respect to a variety of topics and investment opportunities – especially in the start-up, energy, infrastructure and real estate sectors – across the globe.

The firm also participated in the focused Credit Management & NPL Forum of the conference, organized by the DDC Financial Group, which allowed for interesting discussions concerning opportunities and challenges of investing in distressed assets and non-performing loans.

Issue of UK patents & successful milestone in tech JV

The firm advised a Swiss and Serbian-based JV with respect to a technology start-up joint venture set up for the commercialization of certain energy sector technologies on a global scale.

After successfully closing the JV structure and incorporating the collaboration agreement, as well as implementing asset transfers concerning various IP, the firm advised, in cooperation with the Patent Attorneys in the relevant jurisdiction, the parties on a UK Patent application.

In accordance with the JV milestones, the relevant applicants were granted a UK Patent with respect to the technologies covered by the collaboration and have successfully completed a major milestone in their collaboration agreement.
